White & Case Advises Chinese Banks on US$1 Billion Financing for Reliance Communications Limited

Global law firm White & Case LLP has advised a consortium of Chinese banks on syndicated secured financing of approximately US$1 billion to Reliance Communications Limited, India's second largest telecoms operator by subscriber numbers. The funds will be used to refinance outstanding Foreign Currency Convertible Bonds (FCCBs) which the company issued in 2007. This is the largest refinancing of FCCBs by any Indian Corporation to date. The consortium included Industrial and Commercial Bank of China (ICBC), China Development Bank Corporation (CDB) and Export Import Bank of China (China EXIM). The Chairman of Reliance Communications Limited, Mr Anil D. Ambani, personally attended the signing of the deal in Beijing. Commenting on the deal, partner John Shum said: "This deal builds upon our previous experience of advising Chinese banks and financial institutions on export-credit financings for telecommunications companies such as Reliance. While the purpose of this loan was different, I believe we were mandated because of our familiarity in dealing with such banks and navigating both Chinese and Indian regulatory issues." Hong Kong-based partner, John Shum, led the deal. He was supported by counsel, Wang Xin and associates, Simran Sandhu and Yao Xingjia. Advising the banks on Indian law were partners Gayatri Bhandari, Dina Wadia, and Aashit Shah, and associate, Soumitra Majumdar of J. Sagar Associates Mumbai.

SNR Denton Advises Duet India Hotels in Joint Venture with InterContinental Hotels

SNR Denton has advised hotel investment company Duet India Hotels Limited on its joint venture with InterContinental Hotels Group (IHG) to develop new Holiday Inn Express hotels across India over the next five years. The hotels will be primarily located in India's major and key secondary cities, including New Delhi, Mumbai and Bangalore. Duet India Hotels is a hotel group formed by Anuj Gupta and Henry Gabay of Duet Capital. It will take a 76% equity stake in the joint venture, with IHG taking the remaining 24%. "We are extremely pleased to have had this opportunity to work with Duet India Hotels for the first time on this strategic partnership," said corporate partner Jeremy Cohen. Freshfields advises Arysta LifeScience on acquisition of majority interest in Devidayal Sales Limited

International law firm Freshfields Bruckhaus Deringer has advised Tokyo-based Arysta LifeScience, the world’s largest privately held crop protection and life science company, on the acquisition of a majority interest in Devidayal Sales Limited (DSL), a formulator and marketer of pesticides, agrochemicals and micronutrients for the Indian and international markets. DSL is one of the top ten privately-owned agrochemical companies in India. The Freshfields team was led by New York corporate partner Timothy Wilkins and associate Paul Humphreys and included associates Nick McVeigh and Graham Kirk. Nihar Mody and Yashasvi Mohanram, of Mumbai-based law firm Platinum Partners, advised on Indian law.
