Freshfields Advises Shanghai Henlius Biotech, Inc. on Its Hong Kong IPO

Freshfields Bruckhaus Deringer (‘Freshfields’) has advised Shanghai Henlius Biotech, Inc. (‘Henlius’) on the global offering and listing of its H shares on the Hong Kong Stock Exchange (‘HKSE’). The transaction involved a spin-off listing from both HKSE-listed Fosun International and A and H share listed Shanghai Fosun Pharmaceutical. Following the listing, Henlius will remain a subsidiary of both Fosun International and Shanghai Fosun Pharmaceutical. Trading in the Henlius H shares commenced today (25 September 2019) and total proceeds raised were HK$3.2bn (US$400m). Henlius is a leading biopharmaceutical company in China with the vision to offer high-quality, affordable and innovative drugs for patients worldwide. It is the first biopharmaceutical company to receive New Drug Application approval for a monoclonal antibody biosimilar in the PRC and the first company to commercially launch a monoclonal antibody biosimilar in the PRC. It intends to use the proceeds of the IPO to fund ongoing clinical trials, regulatory filing and registration of new drugs and therapies in its pipeline. Norton Rose Fulbright expands Singapore law practice through alliance with Ascendant Legal

Global law firm Norton Rose Fulbright today announced the establishment of a Formal Law Alliance (FLA) with Singapore law practice Ascendant Legal LLC. The alliance, Norton Rose Fulbright Ascendant, has been created following approval from the Singapore Ministry of Law. The establishment of Norton Rose Fulbright Ascendant will enable the expansion of the current Singapore law practice, particularly in the areas of litigation and arbitration, financial restructuring and regulation and investigations. In addition, the Singapore practice will benefit from additional Singapore law expertise in the areas of fraud and asset tracing; criminal litigation and white-collar criminal defence; employment disputes; data protection, privacy and cybersecurity; intellectual property; shipping; real estate and antitrust and competition. Ascendant Legal was set up in 2016 and is led by Chew Kei-Jin, Managing Director, who has more than 20 years’ experience of handling complex, multi-jurisdictional disputes and restructuring matters across a wide range of business sectors, including banking, financial institutions, energy, commodities and telecommunications. Norton Rose Fulbright’s heritage in Singapore spans more than 35 years; the office opened in 1982, and with more than 60 lawyers, it is currently one of the largest international law firms in Singapore. Leading Global Law Firm Herbert Smith Freehills has Hired Senior Associate Amanda Teoh to join its Singapore Asset Finance Team

Amanda's hire is the latest investment in the firm's global asset finance offering following the hire of partners Rex Rosales and Jahnavi Ramachandran in London, and Siva Subramaniam and Samuel Kolehmainen in Singapore in August 2018. The lateral hires were part of the firm's strategic expansion plans and also complemented the existing global asset finance practice with their experience in the aviation finance sector. Prior to joining Herbert Smith Freehills, she worked in the asset finance team at Clifford Chance in Singapore, and trained at King & Wood Mallesons in Sydney. "Amanda's appointment demonstrates the firm's ongoing investment in its aviation practice and its commitment to this sector and region, and we are delighted to have her on board," said Siva. Dentons offices in Singapore and Canada collaborate on cross border transaction for Surbana Jurong

Dentons advised Surbana Jurong, a Singaporean state owned enterprise and one of the largest Asia-based urban and infrastructure consulting firms, on its acquisition of B+H, a global, award-winning consulting and design solutions firm providing architecture, interior design, planning, landscape design, and strategic consulting services across ten studios in Toronto, Vancouver, Calgary, Seattle, Los Angeles, Dubai, Shanghai, Hong Kong, Singapore & Ho Chi Minh City. The cross border transaction was originated by Global Vice-Chair and ASEAN CEO Philip Jeyaretnam S.C. and involved our Toronto and Singapore offices working very closely together with Surbana Jurong’s executive and legal teams. The transaction, which had significant regulatory and local law implications, showcased Dentons’ ability to provide seamless service across our regions.
