Salans advised European Refreshments, a wholly-owned subsidiary of The Coca-Cola Company, on the acquisition of one of Russia’s top four juice producers, Nidan Juices, from UK-based private equity fund, Lion Capital (transaction closed in September 2010).
Nidan has production facilities in Moscow and Novosibirsk, which produce and distribute juice products under the brands Moya Semya, Da! and Caprice. The acquisition is in line with The Coca-Cola Company’s strategy of expanding in the non-carbonated segment and is expected to yield significant cost and revenue synergies for its Russian operations.
The Salans team was led by Moscow corporate partner Alexei Knyazhev, Moscow senior associate Alexei Zakharko, and London corporate partner and Co-Head of Salans’ Global Corporate Group Richard Thomas. The Salans Moscow team also included of-counsel Elizaveta Ivanova overseeing finance and security issues, of-counsel Elena Kourchuk handling anti-trust issues, and senior associate Nadezhda Gryazeva carrying out the strategic investments compliance. The due diligence on Nidan Juices was led by of-counsel Ethan Heinz. Moscow partner and Head of the Russian Trademark/IP Practice Denis Voevodin handled the relevant trademark and IP issues of this transaction.
