Orrick Adds Leading M&A and Capital Markets Lawyer in Moscow

Orrick, Herrington & Sutcliffe LLP announced today that Konstantin Kroll has joined the firm as a partner in its M&A and Private Equity Practice Group, resident in its Moscow office. Formerly with Jones Day, Mr. Kroll is a market leader in advising Russian-origin and international clients in M&A and capital markets transactions.

Dual-qualified in Russian and English law and ranked in Chambers Global and Legal 500, Mr. Kroll has a robust domestic Russian and cross-border practice. He has advised on some of the largest M&A and private equity transactions in the energy, manufacturing, consumer and banking sectors in the Russian market. Within capital markets, Mr. Kroll has acted for issuers and managers on Russian and international IPOs and has been involved in MICEX, LSE (AIM and primary market), Hong Kong, Luxembourg, NYSE and Irish listings. He advises on the issuance of debt, equity, and synthetic instruments, including GDRs/ADRs, LPNs, CLNs, ELNs, and CDOs, exchangeable and convertible bonds, repackagings and securitizations.

Most recently, Mr. Kroll represented Russian Copper Company in the formation of a joint venture with Gerald Metals to develop a major copper deposit and in its acquisition of Enisseiskaya Industrial Company, the holder of an exploration license for Elegest coal deposit considered to be one of the largest deposits of baking coal in the world. He also represented Evraz in the formation of a joint venture with Alrosa in the metal industry, advised on a sovereign Eurobond issue by Byelorussia and acted for two Russian issuers on “dim sum” bond issues in Hong Kong.

Mr. Kroll has been described by IFLR as “the best securitization lawyer in Russia” in 2010 and has been regarded for six consecutive years as a leading capital markets expert in Russia by Best Lawyers and the Russian business daily publication Vedomosti. He earned his LL.M. from Manchester University and his Diploma in Law, with honors, from Moscow State University. Prior to joining Jones Day in 2011, Mr. Kroll was a partner with Allen & Overy where he led the firm’s debt capital markets and derivatives practices in Russia.

Orrick’s Russian practice is recognized by Chambers for its strength in M&A, banking & finance and real estate. The team advised Sberbank, ZAO Raiffeisenbank and other lenders on two financings for the energy & natural resources sectors that were named 2013 deals of the year. The firm acts for the largest real estate investors in the region.

The addition of Mr. Kroll follows the firm’s announcement this summer of two additions to its London office: Michael Crosby will join from Proskauer to head the firm’s English Law Banking & Finance Group, and Shawn Atkinson, a leading private equity, venture capital and emerging markets practitioner, will join from Edwards Wildman.
