Scott C. Kline and Dawn M. Bernd-Schulz Join Blank Rome LLP

Blank Rome LLP is pleased to announce that Scott C. Kline and Dawn M. Bernd-Schulz* have joined the Firm as partners in the public companies and capital formation group and will enhance the Firm’s Asia Capital Markets Practice. Mr. Kline brings more than 17 years of experience in general corporate and securities law and will be based in the Firm’s Shanghai office. Ms. Bernd-Schulz has been representing public and private companies in corporate and securities transactions for the past 10 years. She will be based in Blank Rome’s Washington, D.C. office and will make frequent trips to China.

Mr. Kline and Ms. Bernd-Schulz join Blank Rome from Pillsbury Winthrop Shaw Pittman LLP, where they both practiced in the Corporate and Securities, China, and Finance groups.

Mr. Kline served as Chief Representative and partner in Pillsbury’s Shanghai office. He has significant experience representing public and private issuers, as well as placement agents and underwriters, in public offerings and private placements of securities, private investments in public equity (PIPE) offerings, and angel and venture capital financings. He represents companies with international operations, including those based in the People’s Republic of China. Mr. Kline advises clients with respect to Sarbanes-Oxley compliance, corporate governance, fiduciary obligations and executive compensation matters. He has handled various complex mergers and acquisitions, alternative public offering transactions and other business combinations. Admitted to practice in California, he earned his Juris Doctor, with honors, from Golden Gate University School of Law and his Bachelor of Science from Virginia Polytechnic Institute and State University. He is a member of the American and San Francisco Bar Associations.

Ms. Bernd-Schulz represents public and private companies in corporate transactions, such as private and public financings, international market financings, and mergers and acquisitions, including reverse merger transactions. She advises clients in connection with the preparation of primary and resale registration statements, and listing transactions, applications and requirements on the NYSE and various over-the-counter exchanges. She also works with clients to prepare ongoing securities law disclosure and notice requirements, including periodic reporting and proxy statements. Ms. Bernd-Schulz also advises public and private companies in connection with various general corporate matters, including Sarbanes-Oxley compliance, corporate governance, fiduciary obligations and executive compensation matters. Admitted to practice in the District of Columbia and New York, she earned her Juris Doctor from Cornell University Law School, her Master of Science in Education from the City University of New York and her Bachelor of Arts from the University of Toronto. She is conversant in French, German and Spanish.
