International law firm Eversheds has advised specialist IT infrastructure company Dimension Data Holdings plc on its proposed £2.1bn takeover by Japanese telecommunications company Nippon Telegraph and Telephone Corporation.
Dimension Data is a recognised global leader in the provision and management of specialist IT infrastructure solutions. Dimension Data plans, builds, supports and manages IT infrastructure solutions for over 6,000 clients in 49 countries around the world.
NTT is the largest provider of fixed and mobile voice-related services, internet protocol/packet communications services, sales of telecommunications equipment, system integration and other telecommunications related services in Japan and operates one of the largest telephone networks in the world.
NTT expects significant opportunities and strategic benefits from its combination with Dimension Data. NTT and Dimension Data have highly complementary offerings and geographic presences, which will allow the combined business to offer a comprehensive portfolio of solutions to existing and new clients on a global basis.
The Eversheds’ team was led by head of public M&A Stephen Nash who was assisted by corporate partner Robert Pitcher, senior associate Simon Wood, associate Mark Roe and assistant Michael Dennison. Partner Danny Blum advised on share incentives schemes. Stephen Nash commented:
