Freshfields advises on TransContainer’s IPO

Freshfields Bruckhaus Deringer has advised TransContainer, the leading Russian intermodal container transportation and integrated logistics solutions company on its IPO with a dual listing in London and Moscow. Depositary receipts representing the company’s shares were admitted to the Official List of the UK Listing Authority and began trading on the London Stock Exchange on Friday, 12 November. Transcontainer shares are also listed on the MICEX and RTS stock exchanges in Moscow. The firm has also advised Russian Railways, the majority shareholder of the company on the sale of its shares in the IPO.

The IPO, which raised approximately US$400 million in London and Moscow stands as the first public offering of shares in a subsidiary of Russian Railways and is a key part of the ongoing Russian rail industry reform. Russian Railways has successfully placed a c.35% stake in TransContainer, raising funds for financing modernisation of the Russian railway system.
