G+T Advises NSW Treasury on Sale of WSN Environmental Solutions

Gilbert + Tobin has advised the NSW Treasury on the sale of its waste management business, WSN Environmental Solutions (WSN), for $235 million to SITA Environmental Solutions (SITA), a joint venture between French group Suez Environnement and Singapore-listed Sembcorp Industries.

Corporate Advisory Partner Bryan Pointon led the transaction together with Real Estate and Projects Partner Amanda Hempel, Competition and Regulation Partner Luke Woodward, Special Counsel Noni Shannon and Senior Lawyer Timothy Perry. Together they were assisted by partners and lawyers across the firm’s practice groups including Corporate Advisory, Real Estate and Projects, Competition and Regulation, Banking and Finance and Tax.

Gilbert + Tobin advised on all aspects of the complex transaction through its investigation and implementation stages, including advising on competition aspects, the design of the sale process and structuring of the transaction.

The project builds on Gilbert + Tobin’s significant experience in major privatisation transactions, following the firm’s recent role advising the NSW Treasury on the sale of NSW Lotteries to the Tatts Group.

“As State Governments continue to look at ways to improve efficiency and reduce debt, privatisations have played a key role. We are pleased to have worked with the NSW Treasury on the implementation of the transfer of WSN to SITA.” Mr Pointon said.
