Korea Life Insurance US$1.6 Billion Global Initial Public Offering

Davis Polk & Wardwell LLP advised Credit Suisse Securities (Europe) Limited, Seoul Branch, J.P.Morgan Securities (Far East) Limited, Seoul Branch, Deutsche Securities Korea Co., Daewoo Securities Co., Ltd., Woori Investment & Securities Co., Ltd., Tong Yang Securities Inc., Hanwha Securities Co., Ltd., Hyundai Securities Co., Ltd. and IBK Securities Co., Ltd. as underwriters in connection with a global initial public offering of 217,130,000 common shares for an aggregate amount of approximately Won 1.8 trillion (approximately US$1.6 billion). The common shares were listed on the Korea Exchange. The shares were offered through a registered public offering in Korea and placed under Section 4(2), Rule 144A and Regulation S outside Korea.

Korea Life Insurance is the oldest Korean life insurance company and ranks as the second-largest (as measured by total assets and total gross premiums) in Korea. This offering constitutes the largest Korean life insurance offering and is the largest Korean IPO since 2006.

The Davis Polk corporate team included partner Eugene C. Gregor of the Tokyo office and associates Richard (Sukjoon) Lee and Sun Yul Lee of the Hong Kong office. The legal assistant on the transaction was Ji-Hee Shin of the Hong Kong office.
