Weil Advises Grohe Group on the Increase of Its Shareholding in Joyou AG to Create Global Market Leader in the Sanitary Industry

The international law firm Weil, Gotshal & Manges LLP advised the Grohe Group, the world’s leading provider of sanitary fittings, on the increase of its shareholding in Joyou AG, the Chinese bathroom solutions provider listed in the Prime Standard of the Frankfurt Stock Exchange, to approximately 72.3 percent. As part of the realignment of the shareholder structure of Joyou AG, Messrs. Jianshe and Jilin Cai will trade their direct and indirect holdings in Joyou AG of approximately 36.5 percent for a stake in the Grohe Group.

This largest German/Chinese inbound transaction ever will create the undisputed global market leader in the sanitary industry with worldwide revenues in excess of US$2 billion.

An international team of the Frankfurt, Munich, Shanghai, and Hong Kong offices of the law firm Weil, Gotshal & Manges LLP had previously advised Grohe on its successful voluntary public takeover offer to the shareholder of Joyou AG and the acquisition of shares in Joyou AG preceding the takeover offer as well as on the establishment of a joint venture between the companies in 2011. The transaction showcases the expertise of Weil in the areas of M&A, capital markets, and financing, as well as its strength in cross-border transactions.
