Davis Polk advised Morgan Stanley & Co. International plc and BNP Paribas Capital (Asia Pacific) Limited in their capacity as placing agents for the top-up placement of 200,000,000 shares in NagaCorp Ltd. for a total consideration of approximately US$154 million.
NagaCorp is incorporated in the Cayman Islands with its shares listed on The Stock Exchange of Hong Kong Limited. It is primarily engaged in the operation of a hotel and entertainment complex in Cambodia.
The Davis Polk team included partners William F. Barron, Bonnie Y. Chan and Paul Chow, associates Peter Cheng and Wilson Chan and registered foreign lawyer David Pendergast. Ling Jessica Zhang was the legal assistant on the transaction. All members of the Davis Polk team are based in the Hong Kong office.
