Freshfields Advises on South East Asia’s Largest IPO: Hutchison Port Holdings Trust’s US$5.45B Offering

International law firm Freshfields Bruckhaus Deringer has advised Hutchison Port Holdings and Hutchison Port Holdings Management, the trustee-manager of Hutchison Port Holdings Trust (HPH Trust), on the US$5.45 billion offering and listing of units of HPH Trust on the Main Board of Singapore Exchange Securities Trading Limited (SGX-ST). The transaction represents the largest ever initial public offering (IPO) in Singapore and South East Asia as well as the largest IPO globally year-to-date.

HPH Trust is a Singapore-based business trust with interests in deep-water container port assets in the Pearl River Delta region and is the first publicly traded container port business trust.

The Freshfields team was led by corporate partner Grace Huang and US securities partner Ken Martin. They were assisted by a team of lawyers from the Hong Kong office including corporate associates James Hyre, Nicole Lew and Roland Yau.
