White & Case Advises Standard Chartered Bank on US$70 Million Acquisition Financing

Global law firm White & Case LLP has represented Standard Chartered Bank (Hong Kong) Limited and United Overseas Bank Limited in a US$70 million acquisition financing enabling Halogen Limited to acquire all outstanding ordinary shares of Chemspec International Limited, a China-based contract manufacturer of highly-engineered specialty chemicals. Halogen is a special purpose company jointly controlled by an affiliate of Primavera Capital Management Ltd, and Dr. Yang Yang, the Chairman of Chemspec.

This acquisition of shares sees Chemspec taken private and its American Depository Shares no longer listed on the New York Stock Exchange.

Commenting on the deal, White & Case partner John Shum said: “This deal is a pioneer among a wave of management buyouts of US-listed Chinese companies as it is one of the first to reach close.”

The deal was led by John Shum from Hong Kong. He was assisted by partner David Johansen (New York) and lawyers, Frank Shu and Elodie Gal. Walkers (partner Ashley Davies and associate Jennice Ng) provided Cayman and BVI advice to the lenders.
